These Terms of Service (“Terms”) govern your access to and use of highfrequencyheadphones.com, including any webpages, features, content, products, services, and purchases made through the website (collectively, the “Site”).

The Site is owned and operated by High Frequency Highway Inc. (“HFH,” “High Frequency Highway,” “we,” “us,” or “our”).

By visiting the Site, purchasing a product, creating an account, submitting information, or otherwise using the Site, you agree to be bound by these Terms and any policies incorporated into them by reference, including our Return & Refund Policy and Privacy Policy.

If you do not agree to these Terms, do not use the Site or purchase products through it.

1. ELIGIBILITY

You must be legally capable of entering into a binding agreement to purchase products through the Site.

If you are under the age of majority in your jurisdiction, you may use the Site only with the involvement and permission of a parent or legal guardian.

By using the Site, you represent that you satisfy these requirements.

2. ONLINE STORE

Our online store may be hosted or supported by third-party e-commerce and payment service providers, including Shopify.

Your use of certain third-party services may also be subject to the applicable third party’s own terms, policies, or agreements.

HFH is responsible for its own products, policies, and obligations but is not responsible for the operation of independent third-party platforms except to the extent required by applicable law.

3. PRODUCT INFORMATION

We make reasonable efforts to accurately display and describe our products, including their appearance, specifications, features, dimensions, colors, packaging, compatibility, and functionality.

However, actual products may differ slightly from photographs, digital renderings, displays, or other representations because of:

Screen and display differences;
Lighting and photography;
Manufacturing tolerances;
Product improvements;
Packaging updates;
Supplier changes; or
Other reasonable production variations.

We may update or improve a product without separately notifying customers when the change does not materially alter the fundamental nature of the product purchased.

Nothing on the Site guarantees that a product will produce the same subjective experience or outcome for every person.

4. WELLNESS PRODUCT DISCLAIMER

HFH products are designed and marketed for general wellness, audio, relaxation, focus, meditation, mindfulness, and related consumer wellness purposes, unless expressly stated otherwise.

Unless a particular product has specifically received applicable regulatory authorization for a medical purpose, HFH products are not intended to diagnose, treat, cure, mitigate, or prevent any disease, disorder, or medical condition.

Information presented through the Site, our products, applications, social media, advertising, educational materials, or other HFH content is provided for general informational and wellness purposes.

It is not a substitute for professional medical advice, diagnosis, or treatment.

Individual experiences vary.

Testimonials, customer experiences, reviews, demonstrations, or statements describing an individual's experience with HFH products represent that individual's experience and do not guarantee that another customer will experience the same result.

If you have a medical condition, use an implanted medical device, are pregnant, have concerns regarding hearing, neurological health, or sensitivity to sound or vibration, or are otherwise uncertain whether a product is appropriate for you, consult an appropriate qualified healthcare professional before use.

5. SAFE AND RESPONSIBLE PRODUCT USE

Customers are responsible for using HFH products in accordance with product instructions, warnings, safety information, and common sense.

Do not use headphones or audio products in circumstances where diminished environmental awareness could create a safety risk.

This includes situations such as:

Driving;
Operating machinery;
Cycling in unsafe environments;
Crossing active roadways;
Performing activities requiring full auditory awareness; or
Any situation where distraction could reasonably create a risk of injury.

Customers are responsible for selecting a safe listening volume and duration.

HFH is not responsible for injuries, losses, or damages caused by misuse, unauthorized modification, use contrary to product instructions, or use in an unsafe environment, except to the extent liability cannot legally be excluded.

6. ORDERS

Placing an order constitutes an offer to purchase the selected products.

An automated order confirmation does not necessarily constitute final acceptance of an order.

HFH reserves the right to accept, reject, cancel, or limit an order before shipment where reasonably necessary, including because of:

Product availability;
Inventory errors;
Pricing errors;
Payment authorization problems;
Suspected fraud;
Duplicate transactions;
Reseller activity;
Shipping restrictions;
Compliance obligations; or
Errors in product or promotional information.

If we cancel an order after payment has been collected and before the merchandise is shipped, we will issue the appropriate refund.

7. PRICING

Prices are displayed in the currency indicated at checkout.

Prices may change at any time without notice, but a change will not retroactively alter the price of an order already accepted by HFH unless there was an obvious pricing or technical error.

Applicable taxes, shipping fees, customs charges, and other costs may be added during checkout.

HFH may correct typographical, pricing, promotional, or technical errors.

If a material pricing error affects an order, we may contact you to provide the option to proceed at the correct price or cancel the affected purchase.

8. PAYMENT

You agree to provide current, complete, and accurate billing and payment information.

By submitting payment information, you represent that:

You are authorized to use the payment method;
The information you provide is accurate;
Charges associated with your purchase may be submitted to the applicable payment provider; and
You will pay all charges properly incurred through your account or payment method.

Payments may be processed by independent payment processors.

HFH does not necessarily receive or store complete payment-card information.

9. FRAUD PREVENTION

We may use fraud-prevention measures to protect customers and HFH.

Orders may be delayed, reviewed, canceled, or require additional verification where reasonably necessary to investigate suspected fraud, identity misuse, unauthorized payment activity, unusually high-risk transactions, or other security concerns.

We may request reasonable information necessary to verify an order.

HFH is not obligated to fulfill an order that we reasonably determine is fraudulent or unauthorized.

10. SHIPPING INFORMATION

Customers are responsible for providing a complete and accurate shipping address when placing an order.

Shipping and delivery estimates are estimates unless expressly guaranteed.

Delivery times may be affected by factors outside HFH's reasonable control, including:

Carrier delays;
Customs;
Weather;
Natural disasters;
Labor disruptions;
Supply chain disruptions;
Incorrect addresses;
International border processing; or
Other circumstances beyond our reasonable control.

Nothing in these Terms eliminates rights customers have under applicable laws governing shipping delays, order cancellations, or refunds.

11. SHIPPING ADDRESS CHANGES — 12-HOUR RULE

Customers have a maximum of 12 hours after placing an order to request a change or correction to the shipping address.

Address-change requests should be submitted immediately to:

Submitting an address-change request within 12 hours does not guarantee that the address can be changed if the order has already entered fulfillment or shipment.

An address modification is not effective until HFH confirms the modification.

After 12 hours from the time the order was placed, HFH is not required to change the shipping address.

Customers are responsible for reviewing and confirming their shipping information before completing checkout.

If an incorrect, incomplete, outdated, or undeliverable address was provided by the customer, the customer may be responsible for resulting:

Reshipping costs;
Return-to-sender fees;
Carrier charges;
Redirection costs; and
Other expenses caused by the incorrect address,

to the extent permitted by applicable law.

HFH is not responsible for a package properly delivered to an address incorrectly supplied by the customer, except where applicable law requires otherwise.

12. DELIVERY

Customers should monitor shipment tracking information once an order has shipped.

A package may be considered delivered when the applicable carrier records delivery to the shipping address provided with the order, subject to applicable law and the circumstances of any legitimate delivery dispute.

If tracking indicates delivery but you cannot locate the package, contact the carrier and HFH promptly.

HFH may assist with reasonable carrier investigations.

13. LOST, STOLEN, OR MISDELIVERED PACKAGES

If a shipment is lost before confirmed delivery, contact us so that we can investigate the shipment with the carrier.

HFH will evaluate lost-shipment claims based on available tracking records, carrier information, delivery confirmation, customer information, and applicable law.

HFH is generally not responsible for theft occurring after a package has been properly delivered to the address supplied by the customer, except where applicable law provides otherwise.

Fraudulent lost-package claims may result in rejection of the claim, restrictions on future purchases, or other lawful action.

14. INTERNATIONAL ORDERS

International customers are responsible for complying with applicable import requirements.

Unless expressly included during checkout, the customer may be responsible for:

Customs duties;
Import taxes;
VAT;
Brokerage fees;
Customs processing charges; and
Other fees imposed by the destination country or carrier.

HFH does not control these charges.

If a shipment is refused, abandoned, or returned because a customer refuses or fails to pay applicable import fees, an otherwise eligible refund may be reduced by reasonable shipping, customs, carrier, and return expenses incurred by HFH, to the extent permitted by law.

15. RETURNS AND REFUNDS

Returns and refunds are governed by the High Frequency Highway Return & Refund Policy posted on the Site.

That policy is incorporated into these Terms by reference.

Unless otherwise stated, eligible products may generally be returned within the return period specified in the Return & Refund Policy, subject to its eligibility requirements.

Customers must obtain any required return authorization before sending products back.

If there is a conflict between a product-specific written return term presented before purchase and the general Return & Refund Policy, the product-specific term will control to the extent legally permissible.

Nothing in our return policies limits any non-waivable rights available under applicable consumer-protection law.

16. REFUSED OR UNCLAIMED SHIPMENTS

Refusing delivery does not automatically cancel an order or guarantee a full refund.

If a package is refused or remains unclaimed and is returned to HFH, the transaction may be processed under our Return & Refund Policy.

Eligible refunds may be reduced by actual shipping, return-to-sender, customs, duty, or carrier expenses where permitted by applicable law.

17. PREORDERS AND BACKORDERS

Certain products may be offered for preorder or backorder.

Estimated shipment dates for preorder and backordered products are estimates unless expressly stated as guaranteed.

Manufacturing and transportation schedules can change.

Where applicable law requires HFH to obtain a customer's consent to a shipping delay or provide the option to cancel for a refund, HFH will provide those rights.

18. PROMOTIONS, DISCOUNTS, AND COUPON CODES

HFH may offer discounts, promotional codes, referral codes, bundles, giveaways, limited-time offers, or other promotions.

Unless expressly stated otherwise:

Promotions cannot be combined;
Promotions have no cash value;
Discounts cannot be applied retroactively to completed orders;
Promotional codes may expire;
Promotional offers may be limited by customer, order, product, territory, or quantity;
HFH may correct errors involving promotions; and
HFH may terminate or modify a promotion where legally permissible.

Any material restrictions will be disclosed as part of the applicable promotion.

19. RESALE AND COMMERCIAL PURCHASING

Products offered through the Site are generally intended for end users unless HFH expressly authorizes resale.

You may not purchase products through automated methods, fraudulent accounts, or other means intended to circumvent quantity limits or reseller restrictions.

Wholesale, distribution, or authorized resale arrangements require separate approval from HFH.

20. PRODUCT AVAILABILITY

Products may have limited quantities.

We may discontinue or modify products at any time.

Adding a product to a shopping cart does not reserve inventory.

Inventory is not guaranteed until an order has been accepted and processed.

21. ACCOUNTS

If the Site allows customer accounts, you are responsible for protecting your login credentials and maintaining accurate account information.

You are responsible for activity occurring through your account where that activity results from your failure to reasonably safeguard your credentials.

Notify us promptly if you believe your account has been compromised.

We may suspend or terminate accounts used for fraud, unlawful activity, policy abuse, security violations, or material violations of these Terms.

22. REVIEWS, COMMENTS, AND USER CONTENT

You may have opportunities to submit reviews, comments, photographs, videos, testimonials, feedback, ideas, or other material (“User Content”).

You retain ownership of original User Content that you create.

By voluntarily submitting User Content to HFH for publication or promotional use, you grant HFH a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, reproduce, display, distribute, adapt, format, and publish that User Content in connection with HFH's business, products, marketing, and services, subject to applicable privacy and publicity laws.

You represent that you have the necessary rights to submit the content.

You may not submit content that:

Violates another person's intellectual property rights;
Violates privacy or publicity rights;
Is fraudulent or knowingly misleading;
Contains malware or malicious code;
Is unlawful;
Constitutes spam; or
Impersonates another person.

HFH may moderate or remove User Content where appropriate.

23. TESTIMONIALS

Testimonials and reviews reflect the personal experiences and opinions of the individuals providing them.

Results and experiences may vary.

HFH does not represent that every customer will experience identical or similar outcomes.

Where HFH provides compensation, free products, commissions, affiliate benefits, or another material connection to a person promoting our products, applicable disclosures should accompany the endorsement.

24. INTELLECTUAL PROPERTY

Unless otherwise stated, the Site and its contents are owned by or licensed to High Frequency Highway Inc.

This includes, without limitation:

Brand names;
Trademarks;
Logos;
Product names;
Product designs;
Graphics;
Photographs;
Videos;
Animations;
Website designs;
Written content;
Audio;
Software;
Icons;
Marketing materials;
Packaging;
Product documentation; and
Other proprietary content.

These materials may be protected by copyright, trademark, patent, trade dress, trade secret, and other intellectual-property laws.

Except as expressly authorized by HFH, you may not reproduce, distribute, modify, sell, commercially exploit, reverse engineer, republish, scrape, or create derivative commercial works from protected HFH content.

25. HIGH FREQUENCY HIGHWAY BRAND

The names High Frequency Highway, HFH, product names, logos, designs, and related branding may constitute trademarks or other proprietary rights of High Frequency Highway Inc.

Nothing contained on the Site grants any license or right to use HFH trademarks without prior written authorization.

26. PROHIBITED USES

You may not use the Site:

For unlawful purposes;
To violate applicable laws or regulations;
To infringe intellectual property;
To impersonate another individual or organization;
To submit fraudulent orders;
To distribute malware;
To interfere with Site security;
To scrape or harvest information through unauthorized automated means;
To circumvent technical protections;
To gain unauthorized access to systems or accounts;
To commit payment fraud;
To submit knowingly false claims;
To abuse promotions, returns, referrals, or chargeback procedures; or
To materially interfere with another person's use of the Site.

We may restrict access to the Site where reasonably necessary to address prohibited conduct.

Server failures;
Network interruptions;

Third-party outages; or

We may modify, suspend, or discontinue portions of the Site where reasonably necessary.

Such content is provided for general educational and informational purposes.

Scientific knowledge develops over time, and research findings may be preliminary, disputed, limited, or subsequently revised.

Customers should not interpret educational content as an individualized medical diagnosis or treatment recommendation.

30. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

HFH DISCLAIMS WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THIS DISCLAIMER DOES NOT LIMIT:

EXPRESS PRODUCT WARRANTIES PROVIDED BY HFH;
RIGHTS THAT CANNOT LEGALLY BE WAIVED;
WARRANTIES THAT MUST APPLY UNDER APPLICABLE LAW; OR
REMEDIES AVAILABLE FOR DEFECTIVE PRODUCTS WHERE SUCH REMEDIES CANNOT LEGALLY BE EXCLUDED.

31. NO GUARANTEE OF INDIVIDUAL RESULTS

Experiences with wellness products, sound, audio, frequency-based content, meditation, relaxation techniques, and related products are inherently individual.

HFH does not guarantee any specific:

Mental state;
Emotional state;
Performance improvement;
Sleep outcome;
Focus level;
Physiological response;
Wellness outcome; or
Other subjective result,

unless a specific written guarantee is expressly provided by HFH.

32. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HFH AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE SITE OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HFH'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PURCHASE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO HFH FOR THE PRODUCT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY WHERE SUCH LIMITATIONS ARE PROHIBITED BY LAW, INCLUDING ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to every customer.

33. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless High Frequency Highway Inc. and its officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:

Your unlawful use of the Site;
Your material violation of these Terms;
Your infringement of another person's rights; or
Fraudulent or intentionally wrongful conduct by you.

This provision does not require a consumer to indemnify HFH for HFH's own negligence, unlawful conduct, defective products, or other liability that cannot legally be shifted to the consumer.

34. CHARGEBACKS AND PAYMENT DISPUTES

We encourage customers to contact HFH before initiating a payment dispute so that we have an opportunity to resolve legitimate order concerns.

Nothing in these Terms eliminates a customer's legal right to dispute an unauthorized or improper charge.

If a chargeback or payment dispute is initiated, HFH may provide the applicable financial institution or payment processor with relevant evidence, including:

Order information;
Payment records;
Shipping information;
Tracking data;
Delivery confirmation;
IP or transaction-security information;
Communications with the customer;
Customer-submitted information; and
Applicable store policies.

Knowingly submitting a false chargeback, false non-delivery claim, or fraudulent payment dispute may result in the customer's account being restricted and HFH pursuing remedies available under applicable law.

35. PRIVACY

Our collection and use of personal information is governed by our Privacy Policy.

By using the Site, you acknowledge that you have had an opportunity to review the applicable Privacy Policy.

36. ELECTRONIC COMMUNICATIONS

By using the Site or contacting us electronically, you consent to receiving transactional communications electronically when permitted by law.

These may include:

Order confirmations;
Shipping notifications;
Customer-service communications;
Security messages;
Return information;
Policy notices; and
Other communications relating to your transaction.

Marketing communications are subject to separate consent and applicable law.

37. FORCE MAJEURE

HFH will not be responsible for delays or failures caused by events outside its reasonable control, including natural disasters, fires, floods, wars, terrorism, civil unrest, epidemics, pandemics, government actions, transportation interruptions, carrier failures, labor disputes, supplier disruptions, utility failures, internet outages, or similar events.

This provision does not eliminate any refund, cancellation, or consumer rights that applicable law requires despite such an event.

38. GOVERNING LAW

These Terms and disputes relating to them will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer-protection laws in another jurisdiction apply.

Nothing in this section deprives a consumer of protections that cannot legally be waived under the laws applicable to that consumer.

39. DISPUTE RESOLUTION

Before filing a formal legal claim relating to a purchase, you and HFH agree to make a reasonable good-faith effort to resolve the matter directly.

Customers may send a written notice of the dispute to:

The notice should include the customer's name, order number, a description of the issue, and the requested resolution.

Nothing in this section prevents either party from seeking emergency or injunctive relief where appropriate or exercising rights that cannot legally be restricted.

Unless applicable law requires otherwise, disputes that are not resolved informally may be brought before a court of competent jurisdiction.

40. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed to the minimum extent necessary.

The remaining provisions will continue in effect.

41. NO WAIVER

If HFH does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

A waiver is effective only to the extent expressly provided.

42. ASSIGNMENT

You may not assign your rights or obligations under these Terms in connection with a commercial transaction without HFH's written consent.

HFH may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, transfer of assets, or similar business transaction, subject to applicable law.

43. ENTIRE AGREEMENT

These Terms, together with policies expressly incorporated by reference, constitute the agreement between you and HFH concerning use of the Site and applicable purchases.

These Terms do not replace separate written agreements entered into directly between you and HFH where those agreements expressly control.

44. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our products, operations, Site functionality, business practices, or legal requirements.

The updated Terms will be posted to the Site with a revised “Last Updated” date.

Unless otherwise required by law, changes apply prospectively and do not retroactively alter material rights relating to transactions completed under earlier Terms.
